the Chief Legal Officer (CLO), the Associate General Counsel will
be a key member of the legal team. This role involves providing
legal advice and support on a broad range of issues to help execute
the company's strategy and optimize performance. The candidate must
be able to clearly communicate legal considerations and confidently
advise on risk to facilitate informed decision-making by executives
and management.Essential Duties and Responsibilities
- Commercial: Negotiate and review commercial agreements with
business units, ensuring compliance with company standards and
legal requirements. Develop templates for commercial agreements for
use within the document management system.
- Process Improvement / Business Professionalization: Identify
and implement legal and compliance best practices, support legal
and compliance initiatives, and assist with policy development,
training, and government contracting.
- Litigation and Claims Management: Oversee resolution strategies
for litigation and claims, assist with discovery, and analyze
disputes for root causes and future risk mitigation.
- Mergers & Acquisitions: Support M&A activities by advising
on legal diligence, negotiating agreements, and drafting NDAs and
letters of intent.
- Law Firm Relationships: Manage relationships with outside
counsel to ensure effective and cost-efficient support.
- Employment Law: Advise HR and management on employment law
issues, including FMLA, disability, benefits, and performance
management.
- Real Estate: Review and negotiate leases and guide external
counsel on complex transactions.
- Corporate Structure: Coordinate legal entity maintenance and
secretarial activities.Required Skills and Qualifications
- J.D. and fully licensed attorney.
- 7+ years of professional legal experience, with a mix of
law-firm and in-house roles preferred.
- Experience in commercial and corporate law is ideal, but
candidates with diverse backgrounds are welcome.Competencies
- Professional representation of the company externally and
internally.
- Strong communication, relationship-building, and persuasive
skills.
- Ability to work efficiently in a fast-paced environment with a
sense of urgency.
- Confidence in making risk judgments and recommending actionable
