Counsel will be responsible for reviewing, drafting and negotiating commercial contracts, including customer and supplier contracts, IT agreements, equipment leases, commercial real estate leases, purchase and sale agreements and NDAs.Regulatory/Compliance. Advise on a wide variety of regulatory/compliance matters arising in the context of manufacturing and distribution operations specific to the packaging industry.Litigation Management. Work closely with outside counsel to manage all litigation and report to management on the status of each matter on a regular basis.RESPONSIBILITIESReview, draft and negotiate contracts, commercial leases and other real estate documents, and NDAs.Prepare and deliver updates on legal developments and requirements to various audiences and provide ongoing advice on applicable laws and regulations governing commercial activities.Assist with legal due diligence for M & A transactions.Assist in the management of outside counsel who are handling legal matters to ensure overall quality and value of legal services.Experience researching and advising on a wide range of federal, state and local laws and regulations related to the manufacturing/packaging industry.Advise and support Risk Management team with third party claims, disputes and litigation.Be the " Go to 'person in the legal department for all real estate, regulatory and EH& S matters. This will ensure that there will be new challenges and experiences on a daily basis, making this position a dynamic one.Leading and providing project management support on strategic Legal Department and procurement and Corporate Governance initiatives.Oversee and participate in company privacy and cybersecurity initiatives, including GDPR, CCPA/CPRA.Provide counsel to the business units regarding patent matters, trademark and copyright matters and domain names.Provide advice on transactional matters with regard to issues involved IP, confidentiality and emerging technologies.Be able to provide guidance on IP matters, licensing and supports enforcement of rights and defenses of the company against IP claims.What We Need From YouMinimum of 5 years of a combination of corporate, transactional, regulatory and commercial real estate transaction experience in a corporate legal department or law firm. In-house experience is a plus.Experience in real estate, environmental, data privacy, workplace health and safety regulations and other commercial matters is also desirable.Strong transactional skills, including experience in drafting and negotiating complex terms and conditions and agreements, including marketing agreements, services agreements, consulting agreements, vendor agreements, infrastructure agreements, and equipment leasing agreementsDemonstrated advocacy and oral and written communication skills, including the ability to interact successfully with all functions and levels of associates, including senior managementDemonstrated ability to quickly understand the business needs and partner with the business units and other members of the Legal Department and other constituents to create solutions and effectively deliver team resultsExcellent organizational and communication skills; high energy; a desire to learn; and a commitment to thehighest ethical standards.Demonstrated ability to resolve complex legal issues in compliant, but also creative, business friendly, and cost-effective ways with an appropriate sense of urgency.The attorney must have the flexibility to simultaneously manage a wide range of transactions and projects.The ability to work in a fast-paced matrix and international environmentWhat You'll Get From UsBenefitsWith safety as our top priority and a commitment to employee well-being an important focus, we offer comprehensive and competitive benefits that include medical, dental and vision insurance (including Telehealth options) as well as a variety of other well-being resources focused on mental, physical and financial health.
